Unfortunately, uncertainty is always a part of a ZZP'er's existence. Will there be enough orders? Will the client be satisfied? And what happens if he does make a (very human) mistake?

Claim is not end of story

A self-employed person with an advisory profession such as interim manager, controller or broker will have to think carefully about the consequences of a possible professional error. For no matter how good he is, everyone makes a mistake from time to time. Examples of such risks are giving wrong advice, providing incorrect or incomplete information and violating intellectual property rights. Damage claims with high legal costs and loss of reputation can be the consequences. And that could mean the end of your existence as a self-employed person. How can you prepare yourself?

Lay down the conditions

Spend time on your General Terms and Conditions. Make sure that the service you provide is well covered in them. Do not settle for general descriptions but ensure that they are tailor-made. If a dispute arises, the General Terms and Conditions ensure that you cannot be accused of just anything.

In the agreement between you and your client, make clear which obligation you are entering into. An obligation to achieve a certain result is riskier than an obligation to perform to the best of one's ability. Make sure that the General Terms and Conditions are mentioned in the agreement. When you sign the agreement or offer, your client will have taken note of the General Terms and Conditions.

Take out professional indemnity insurance

One option is to create a piggy bank in case a client is not satisfied with the outcome of your services. This can only be done if you expect that the damages can never be high. Better to take out professional liability insurance (BAV). This covers all property damage resulting from professional errors. Some clients or intermediary agencies already require professional liability insurance. The BAV also lends your company a professional image.

What does a BAV cover?

  • Wrong advice or making mistakes in your work
  • Violation of privacy or duty of confidentiality
  • Infringement of intellectual property rights (copyright and trademark rights)
  • Defamation or injury to reputation
  • Defence costs (legal assistance and litigation costs)
